Partner terms

These Partner terms are the contract between mvdm.io, a sole proprietorship registered in the Netherlands (“mvdm.io”, “we”, “us”), and a person or organisation that mvdm.io has accepted as a partner (“Partner”, “you”). A Partner brings customers to the mvdmio Products and is paid a Commission on what those customers pay. Where these Partner terms are silent, the Terms of Service apply to your own use of a Product.

1. Who is a Partner

mvdm.io decides who becomes a Partner. We may end a partnership at any time. Ending a partnership stops new Commission. Commission you have already earned is still paid, under these Partner terms.

2. Referrals

A customer becomes your Referral when they register an account through your Partner link, or when they pick you as their Partner at the registration question “Did a Partner send you?”. We may set or change a Referral, for example for an existing customer you bring in. Your own account is never your own Referral.

3. What a Partner earns

You earn a Commission of ten percent of the licence charges each of your Referrals pays for any Product. The ten percent is calculated on the amount without VAT and after any discount. It applies to every paid invoice from the moment the Referral is set, including renewals, for as long as the Referral stands.

AI credit packs earn no Commission. Trials earn no Commission, because they are not paid.

4. Hold and changes

We hold a Commission for 30 days after the customer’s invoice is paid. A refund, a credit note, or a chargeback on that invoice lowers the Commission. A chargeback that mvdm.io wins restores it. When one of these happens after the Commission was paid to you, we deduct the amount from your later payments.

5. Payment

We pay Commission once a month, on or after the 1st, through Stripe. Stripe’s own terms for connected accounts apply to you, and you give Stripe your bank details during onboarding.

We do not pay until your onboarding with Stripe is complete and your account holds a billing address, and a tax ID when VAT applies to you. A payment that cannot be made is retried the next month. There is no minimum amount. mvdm.io carries Stripe’s fees.

6. Self-billing agreement

You agree that mvdm.io issues the invoice for each Commission payment in your name (“factuur uitgereikt door afnemer”). You do not issue your own invoice for the same Commission.

mvdm.io applies the VAT treatment it records for you: Dutch VAT at 21%, reverse charge, or no VAT. You tell us at once when your VAT status changes.

Each invoice stands unless you object to it by email within 14 days of receiving it. Send the objection to the email address on Company details.

7. What a Partner sees and shows

You see each Referral’s account name and the Commission each of its invoices earned. You keep that information confidential. Your account name appears in the list of Partners on account registration.

8. Records

mvdm.io keeps Commission records and self-billing invoices for 7 years, as Dutch tax law requires.
